By accessing our website, requesting our services, or using our transcription platforms, you ("Client," "you," or "User") agree to be bound by these Terms.

If you do not agree with these Terms, you should not use our services. These Terms constitute a legally binding agreement between you and sylvantics.

2. Definitions

For purposes of these Terms:

  • "Services" means all speech recognition, AI transcription, audio intelligence, and related services provided by sylvantics, including workflow assessments, custom pipeline implementations, and enterprise platform deployments.
  • "Client" or "you" refers to any individual or organisation that accesses our website, engages our services, or uses our transcription platforms.
  • "Audio Content" means any audio files, recordings, or sound data submitted by you for transcription processing.
  • "Transcripts" means the text outputs generated by our speech recognition systems from your Audio Content.
  • "Platform" means any software, application, or interface provided by sylvantics for accessing our Services.
  • "Agreement" refers to these Terms together with any service-specific agreements, statements of work, or other contractual documents.

3. Service Description

sylvantics provides speech recognition and AI-powered transcription services to organisations across Singapore. Our service offerings include:

  • Audio Workflow Assessment: Evaluation of your current audio processes and identification of transcription opportunities
  • Custom Transcription Pipeline Setup: Configuration and deployment of tailored transcription systems
  • Enterprise Audio Intelligence Platform: Comprehensive organisation-wide transcription and audio analytics capabilities

Service specifications, timelines, pricing, and deliverables for specific engagements are detailed in separate service agreements or statements of work. Services are subject to availability and may be modified or discontinued at our discretion.

4. Account Registration and Access

To access certain Services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the confidentiality of your account credentials
  • Be responsible for all activities occurring under your account
  • Notify us immediately of any unauthorised access or security breach
  • Be at least 18 years of age or have the legal capacity to enter into binding contracts

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activities.

5. Acceptable Use Policy

Permitted Uses

You may use our Services for legitimate business, educational, research, or personal purposes in compliance with applicable laws and these Terms.

Prohibited Activities

You agree not to:

  • Submit Audio Content containing unlawful, defamatory, threatening, or inappropriate material
  • Upload recordings without proper consent from all parties where legally required
  • Attempt to reverse engineer, decompile, or extract source code from our systems
  • Interfere with or disrupt the integrity or performance of our Services
  • Use the Services to develop competing speech recognition products
  • Share account credentials or allow unauthorised access to your account
  • Submit excessive volumes of Audio Content in an attempt to overload our systems
  • Use automated systems or scripts to interact with our Services without authorisation
  • Violate any applicable laws, regulations, or third-party rights

6. Intellectual Property Rights

Our Intellectual Property

All intellectual property rights in the Services, Platform, website, documentation, and related materials remain the exclusive property of sylvantics. This includes:

  • Speech recognition algorithms and models
  • Software code and system architecture
  • User interfaces and design elements
  • Documentation and training materials
  • Trademarks, service marks, and branding

You receive a limited, non-exclusive, non-transferable licence to use the Services solely for the purposes outlined in your service agreement. This licence does not grant any ownership rights.

Your Content

You retain all ownership rights to your Audio Content and any data you submit to our Services. By uploading Audio Content, you grant sylvantics a limited licence to process, store, and analyse the content solely for the purpose of providing the Services. We do not use your Audio Content for any other purpose without your explicit consent.

7. Payment Terms

Pricing for Services is specified in service-specific agreements or quotations. Payment terms include:

  • All fees are quoted in Singapore Dollars (SGD) unless otherwise specified
  • Payment is due according to the terms specified in your service agreement
  • Late payments may incur interest charges as permitted by Singapore law
  • Fees are non-refundable except as explicitly stated in service agreements
  • We reserve the right to suspend Services for accounts with overdue payments
  • Price changes for ongoing services require 30 days advance notice

8. Service Availability and Performance

We strive to maintain high service availability but do not guarantee uninterrupted access. The Services are provided "as is" without warranties of specific uptime percentages except as specified in enterprise service agreements.

We reserve the right to:

  • Perform scheduled maintenance with advance notice
  • Conduct emergency maintenance when necessary for security or stability
  • Modify or discontinue features with reasonable notice
  • Temporarily suspend Services to address technical issues

9. Disclaimers and Limitations

Accuracy Disclaimer

While we employ advanced speech recognition technology, transcription accuracy varies based on audio quality, speaker clarity, acoustic conditions, and language complexity. We do not guarantee 100% accuracy and are not liable for errors or omissions in transcripts. Clients should review and verify transcripts for critical applications.

No Professional Advice

Our Services provide technical transcription capabilities and are not substitutes for professional legal, medical, financial, or other expert advice. Decisions based on transcript content are your sole responsibility.

Third-Party Content

We are not responsible for the content, accuracy, or legality of Audio Content submitted by clients or any third-party materials accessed through our Services.

10. Limitation of Liability

To the maximum extent permitted by Singapore law:

  • sylvantics's total liability for any claims arising from these Terms or the Services shall not exceed the fees paid by you in the six months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption
  • We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control
  • These limitations apply whether claims are based on contract, tort, statute, or any other legal theory

11. Indemnification

You agree to indemnify and hold sylvantics, its officers, employees, and contractors harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services in violation of these Terms
  • Your Audio Content or data submissions
  • Your breach of any laws or third-party rights
  • Any disputes between you and third parties arising from your use of the Services

12. Termination

Either party may terminate services according to the terms specified in service agreements. We may immediately suspend or terminate your access to the Services if:

  • You violate these Terms or applicable laws
  • Your account shows signs of fraudulent or abusive activity
  • You fail to make required payments
  • Continuation of Services poses legal or security risks

Upon termination, your access to the Platform will cease. Data retention following termination is governed by our Privacy Policy and applicable service agreements.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Singapore.

Before initiating formal legal proceedings, parties agree to attempt resolution through good-faith negotiations. Either party may request mediation through the Singapore Mediation Centre.

14. General Provisions

Entire Agreement

These Terms, together with any service-specific agreements and our Privacy Policy, constitute the entire agreement between you and sylvantics regarding use of the Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through:

  • Email notification to registered users
  • Prominent notice on our website
  • In-platform notifications for active users

Continued use of the Services following notification of changes constitutes acceptance of the modified Terms. If you do not agree with the changes, you should discontinue use of the Services.
